Rights, eligibility, valuation, costs and exit — updated 16 October 2026

Regulatory information is dated 16 October 2026. Current product documents govern purchase and exit; the numerical examples are invented for teaching. Separate eligibility from suitability, a published value from realisable cash, and the entity’s tax position from your personal obligations.
What Do You Actually Own?
A real-estate investment fund, GYF (Gayrimenkul Yatırım Fonu), collects money from qualified investors in exchange for participation units to manage a portfolio under its documents. It is a pool of assets rather than a joint-stock company equivalent to a GYO. You buy a unit with its rights and conditions, rather than automatically acquiring registered ownership of a defined part of every property. Check whether it invests in rented assets, rights or a development, and identify the manager and custodian.
Direct ownership registers your title to a particular property or share, leaving its decisions, costs and risks with you. Buying an apartment with a friend under registered ownership shares differs from buying a fund unit, even if both are marketed as collective investment. First identify the instrument you will own and its actual rights: a marketing name does not establish how you exit or what you may control.
Set the Objective Before Comparing Returns
Specify how much money can remain invested, the emergency reserve held outside the investment, and the currency of your future spending. Needing cash in six months differs from a multi-year horizon. Do not turn a short-term objective into a long commitment because the offer contains an attractive building photograph or rising performance chart. Record the loss you could withstand without being forced to sell at an unfavourable time.
Control also matters. With direct property, you choose the unit and oversee maintenance and tenants, or pay a manager. In a company or fund, management makes portfolio decisions within the instrument’s documents and your rights. Professional management does not remove conflicts, costs or forecasting errors. Understand the responsibility attached to each form of participation before examining an individual product; an acronym cannot determine suitability.
Read a GYO as a Company with Debt and Cash Flows
Examine recurring income, occupancy, tenant concentration, operating expenses and financing. A building revaluation gain in the accounts is not necessarily cash received or money available for distribution. A previous dividend does not guarantee the next one. Ask how expenditure and debt will be funded if delivery or collections are delayed: higher asset values do not remove near-term repayment pressure.
The listed share price is determined by supply and demand. It may move faster than property valuations and stand above or below calculated net assets per share. An apparent discount does not establish a profitable bargain: it may reflect debt, governance, thin trading or doubts about valuation. Also read voting rights, privileges and potential capital increases, rather than reducing the company to a photograph of its best-known development.
Identify the GYF Type and Its Current Documents
Some funds invest in property assets and rights, while the 2024 amendments also enabled project real-estate funds, Proje GYF, subject to conditions concerning residential developments. It is therefore incorrect to say that no property fund can invest in construction projects. Equally, the word project does not authorise any building activity without limits. Examine the particular fund’s classification, strategy, permits, progress and financing.
Check whether the portfolio is genuinely diversified or concentrated in one property, developer or city. A fund is not automatically diversified; a specific asset may be its purpose. A custodian, valuer or regulatory supervision does not guarantee principal. Ask how related-party acquisitions are approved, valued and disclosed, and who may amend terms affecting investors.

Investor Eligibility Is Different from the Minimum Purchase
Write the Exit Route Before Investing
For a GYF, distinguish redemption by the fund, sale to another investor and liquidation at the end of its term. Read request windows, valuation dates, payment dates, early-exit restrictions, possible deferral or extension and transfer approvals. Actual disclosures show differing subscription and redemption schedules; no single deadline can be applied to every fund.
The exchange allows certain fund units to trade when documentation, approval and listing conditions are met. This does not describe every GYF or remove qualified-investor requirements where applicable. A fund’s data appearing on TEFAS or another information portal does not alone establish an execution channel or daily redemption guarantee. For direct property, allow for marketing time, mortgage settlement, tax and registration; an advertised price is not ready cash.
Valuation, Price and Cash Are Three Different Figures
For illustration only, assume assets valued at TRY 120 million, liabilities of TRY 30 million and 9 million units. Calculated net assets are TRY 90 million, or TRY 10 per unit. A hypothetical market price of TRY 8 represents a 20% discount to that figure; TRY 12 represents a 20% premium. This does not establish that the price will return to TRY 10 or determine any actual fund’s redemption price.
In 2026, the regulator announced a change to valuing listed GYF and venture-capital fund (GSYF) units held in investment-fund portfolios using net asset value instead of exchange prices within the announcement’s scope. Do not turn a valuation rule for a holding fund’s portfolio into a promise to redeem your units at net asset value. Match the price type, date and institution handling your exit: these questions matter more than comparing two unexplained numbers.
| Illustrative item | Calculation | Result |
|---|---|---|
| Net assets | 120,000,000 − 30,000,000 | TRY 90,000,000 |
| Per unit | 90,000,000 ÷ 9,000,000 | TRY 10 |
| Discount at hypothetical price 8 | (10 − 8) ÷ 10 × 100 | 20% |
| Premium at hypothetical price 12 | (12 − 10) ÷ 10 × 100 | 20% |
Calculate Returns after Costs without Double Counting
For direct property, the budget may include acquisition fees, services, financing, repairs, vacancy, insurance, tax and letting management. Gross rent is not net yield, and loan-principal repayment is a cash movement distinct from an allowable tax expense. Compare equivalent periods, currencies and funding structures; do not compare a completed year of share performance with forecast rent for a year that has not begun.
A separate teaching example: you paid TRY 100,000, received distributions of TRY 4,000 and sold for TRY 98,000, with TRY 1,000 of external costs not already deducted. Final proceeds are TRY 101,000 and profit TRY 1,000, or 1% before tax. These are not actual product returns. If units remain unsold, distinguish reported value from received cash. If the exchange rate changes, also calculate the outcome in the currency of your objective.
| Investment form | Costs to check | Common mistake |
|---|---|---|
| Listed GYO | Trading/account costs and corporate debt/expenses in its statements | Treating a revaluation gain as cash distribution |
| GYF | Management, performance, subscription, exit and portfolio expenses | Deducting fees already reflected in unit value twice |
| Direct property | Acquisition, repairs, vacancy, management, funding and sale | Treating gross rent as net yield |

Test Asset and Management Risks
Ask what lower rents, project delays, higher financing costs or a major tenant default would do. Examine currency-linked debt, maturities and security, rather than assuming nominal property appreciation offsets every expense. Currency risk also belongs to the investor: a positive lira result may differ in their spending currency. These are stress cases for resilience, not market forecasts.
Distinguish the founder, manager, custodian, auditor and valuer: their functions differ, and a familiar institution’s name does not replace reading the agreements. Check related-party transactions, key-person changes and current published observations. If the exit mechanism or source of an advertised distribution is unclear, keep the question open instead of filling it with an optimistic assumption. Supervision and disclosure support due diligence; they are not loss insurance.
| Stress test | Practical question | Document to seek |
|---|---|---|
| Delayed income | Is cash sufficient for costs and debt? | Cash flows, maturities and financing |
| Delayed development | Who bears overruns and when does income start? | Progress, contracts and permits |
| Early cash need | Is exit permitted and when does it become cash? | Trading/redemption and extension terms |
| Changed valuation | Did price, assumptions or report date change? | Current valuation and financial-statement notes |

Separate the Entity’s Tax from Your Own
The investor’s assessment depends on individual or corporate status, tax residence, acquisition date, instrument and income type, holding period and current rules. Ask the institution and accountant to distinguish withholding, returns and required evidence. Do not apply a rate belonging to another fund or purchase date. This guide gives no universal rate because apparently similar cases may require different answers.
A non-resident may also need to examine obligations in the residence country and any applicable tax-treaty procedure, retaining acquisition, distribution, cost and conversion records. Do not assume that buying shares or units grants residence or citizenship, or equals buying an apartment for that purpose. Any additional legal objective requires its own official process; this investment comparison does not establish compliance.
