1) Why does a promissory note matter?
A promissory note is a serious payment obligation, rather than a receipt. If unpaid, it can lead to enforcement proceedings. A later explanation of what you intended may not overcome the signed wording. The special enforcement procedure for negotiable instruments has its own short deadlines and remedies.
2) When might someone ask for one?
- As security in a rental transaction.
- For instalment purchases or deferred payment.
- In small business arrangements or private transactions.
- For the hire of a vehicle or equipment.
3) Checks before signing
- Check the amount in both figures and words; they must agree.
- Make the intended payment date clear. Do not assume that an omitted date makes a note harmless or invalid.
- Check the parties' names against their identity documents.
- Record the underlying transaction in a separate agreement or invoice. Get advice before adding conditions to a negotiable instrument.
- Check whose obligation your signature creates and whether you are also signing as a guarantor. Use your usual signature and check that every signature is placed in the correct capacity.
- Leave no spaces that could be completed later, and retain a clear copy.
4) Mistakes to avoid
Do not sign a blank note, several notes for the same obligation without a clear explanation, or a note based only on a verbal promise. Paying in cash while the other party retains the original note can create an evidence problem.
5) Discuss a more suitable arrangement
If security is requested, discuss a written contract, a payment schedule, traceable bank transfers, receipts, or an appropriate bank-security arrangement. A transfer records payment; it is not itself a substitute for security. Rental deposits and consumer instalment transactions also have specific legal protections.
6) If you have already signed
- Obtain a clear copy of the complete document.
- Make payments traceable and state the correct reference.
- When fully paid, obtain the original note back and written confirmation of discharge. If the note has been transferred, take legal advice about the appropriate protection.
- Keep written confirmation of each payment and the underlying agreement.
7) If enforcement papers arrive
Act immediately. Collect the contract, transfers, messages and receipts, and identify the precise enforcement procedure. A routine objection for an ordinary debt may be ineffective for a cheque or promissory note; seek advice on the correct authority and deadline.
Request for return of a paid note
Code:
Hello,
The full amount due was paid on [date], under transfer/receipt reference [reference].
Please confirm that the obligation is discharged and return the original promissory note numbered [number], with written confirmation of cancellation where appropriate.
Thank you.
Practical takeaway
Understand the obligation, complete the document properly, retain copies and payment evidence, and recover the original when the debt is discharged.
